Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you and MaraLabs ("we", "us", or "our"). Contact details and legal identity information can be found in our Legal Notice / Impressum. Please read these Terms carefully before using our application and related services ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Service Description

ZVee provides users with tools to create, manage, and export resumes and CVs online. The Service includes optional AI-assisted features (such as drafting suggestions, job match analysis, and cover letter drafting) powered by OpenAI, subscription options, and multi-platform accessibility. We reserve the right to update, modify, suspend, or discontinue any part of the Service at any time.

2. Eligibility

You must be at least 16 years old or have reached the age of majority in your jurisdiction to use the Service. By using the Service, you confirm you meet this requirement and have the legal capacity to enter into these Terms.

3. User Accounts

• To access certain features, you may need to register for an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
• You agree to notify us immediately of any unauthorized use or security breach.
• We may suspend or terminate accounts suspected of misuse or violation of these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful or harmful purposes.
• Upload any content that infringes intellectual property rights, is defamatory, offensive, or violates privacy or legal rights of others.
• Attempt to interfere with or disrupt the Service or attempt unauthorized access to data or accounts.
• Use automated means such as bots, scraping, or harvesting tools to collect data or disrupt services.
• Impersonate any individual or entity or otherwise misrepresent your affiliation.

5. User Content

• You retain ownership of your resumes, CVs, and any other content you create or upload.
• For the avoidance of doubt, you are considered the author of any final application materials generated with the assistance of our AI tools.
• By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content as needed to provide and improve the Service.
• You agree that we do not claim ownership of your content and will not sell your personal data or user-generated content to third parties for advertising purposes.

6. Intellectual Property

• All intellectual property rights related to the Service including software, AI models, trademarks, and branding belong to us or our licensors.
• You may not copy, modify, distribute, or create derivative works based on the Service except as expressly permitted.

7. Payment and Subscription

• Some features may require paid subscriptions. Subscription terms and prices will be clearly presented before purchase.
• Prices are inclusive of applicable Value Added Tax (VAT) where required by law (e.g., for EU consumers), based on your location.
• Subscriptions renew automatically unless canceled prior to the next billing cycle.
• Payments are processed via Stripe. You acknowledge that for purposes of fraud prevention and financial regulatory compliance, Stripe also acts as an independent data controller as described in their own terms.
• After the initial contract term, your subscription will renew indefinitely but may be cancelled at any time with a maximum notice period of one month.
• You may cancel your subscription at any time via your Account Settings (when logged in) or by clicking the 'Cancel subscription' link in the footer of our website (no login required). Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time unless required by law.
• You are responsible for providing accurate payment information and ensuring timely payments.
• Refunds are handled in accordance with applicable laws and stated refund policies.

8. Right of Withdrawal

• You have the right to withdraw from your subscription within 14 calendar days without giving any reason.
• To exercise this right, notify us within the withdrawal period either via our contact form (no login required) or by email at support@zvee.io. If you use the contact form, we will confirm receipt by email.
• If you withdraw, your access to subscription features ends.
• During the 14-day trial period at a charge of 0 EUR, no refund is due because no payment was made.
• If a payment was made and a statutory right of withdrawal applies, reimbursements are made in accordance with applicable consumer law.

9. Availability and Updates

• We strive to offer continuous and reliable access but do not guarantee uninterrupted or error-free service.
• Periodic maintenance, updates, or emergency repairs may cause temporary interruptions.
• Users are responsible for updating their software or devices for compatibility.

10. AI-Generated Content and Transparency

• The Service offers AI-assisted features powered by OpenAI to generate suggestions (e.g., wording improvements, keyword analysis, cover letter drafts). Outputs may be incomplete, inaccurate, or factually incorrect.
• You are the "Human in the Loop" and are responsible for reviewing, editing, and verifying all suggestions before use. MaraLabs assumes no responsibility for inaccuracies in AI outputs or for any results arising from their use.
• We do not use AI for fully automated decision-making that produces legal or similarly significant effects (for example, automated hiring decisions).
• In compliance with the EU AI Act, we disclose our use of AI to provide transparency about AI-generated content and interactions. Details on AI-related data processing are described in our Privacy Policy.

11. Security and Incident Management

• We implement reasonable security measures to protect user data but cannot guarantee absolute security.
• Users must safeguard their account credentials and report any suspicious activity.
• In the event of a data breach or security incident, we will notify affected users in compliance with applicable laws.
• Our third-party processors are contractually bound to notify us of security incidents, typically within 48 hours of discovery.

12. Liability and Disclaimers

• The Service is provided "as is" without warranties of any kind, either express or implied.
• We are not liable for indirect, incidental, consequential damages including loss of job opportunities or profits.
• Our liability for any claim arising out of the Service is limited to the greater of the last 12 months' fees paid or 50 CHF.
• Mandatory Exceptions (Swiss/EU Law): Nothing in these Terms excludes or limits our liability for unlawful intent (intent), gross negligence, or bodily injury/death, nor for the breach of essential contractual obligations (cardinal obligations), nor does it affect your statutory rights as a consumer where such rights cannot be excluded by law.
• We disclaim responsibility for any damages caused by user actions, third-party content, or events beyond our control.

13. Data Protection and Privacy

• Our collection, use, and storage of your personal data are governed by our Privacy Policy, which forms an integral part of our relationship. We comply with the Swiss Federal Act on Data Protection (FADP) and the EU General Data Protection Regulation (GDPR).
• In accordance with the EU Data Act, we facilitate the portability of your service-generated data to other providers through self-service export tools available in your Account Settings, where you can download your data in structured, machine-readable formats.

14. Accessibility Commitment

We strive to ensure the Service is accessible to users with disabilities, in line with the European Accessibility Act requirements effective June 2025.

15. Termination

• We reserve the right to suspend or terminate your access for violations of these Terms or cessation of the Service.
• You may terminate your use at any time by discontinuing access or deleting your account.
• Upon termination, your content and account data may be deleted in accordance with our retention policy.

16. Governing Law and Dispute Resolution

• These Terms are governed by Swiss law.
• Any disputes will be subject to the exclusive jurisdiction of courts in Zürich, Switzerland.
• Consumer Savings Clause: If you are a consumer residing in the EU, EEA, or UK, this choice of law and jurisdiction does not deprive you of the protection of mandatory consumer laws in your country of residence, nor does it prevent you from bringing legal proceedings in your local courts where statutory rights allow.
• We encourage users to contact us directly to resolve disputes amicably before pursuing formal proceedings.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the app or email. Continued use after changes means acceptance of the revised Terms.
